Biography

Kristina Pedroso currently handles general business matters including serving as outside general counsel for social media intermediaries by negotiating licensing agreements and terms between creative artists, brand representatives, and/or entertainment lawyers. She has deep experience in mergers and acquisitions practice, including corporate compliance with respect to due diligence analysis/review, focusing on the assignability of rights and outstanding liabilities, and term and termination issues by determining any potential conflicts with LOI.

Given Kristina’s many years of civil litigation experience, most recently as an employment litigator serving as outside counsel for international corporations, as well as solo practitioners, she is adept at determining client’s rights and liabilities with respect to employee transition, including potential issues regarding non-compete/non-solicitation, confidentiality, and non-disclosure of trade secrets, as well as advising clients on IP rights and assignability. Kristina also advises clients on business entity formation, working with tax advisors and CPAs to maximize tax savings.

Kristina counsels clients regarding shareholder and LLC member disputes involving breach of shareholder/operating agreement and breach of fiduciary duties, in order to determine long-term solutions, while at the same time minimizing overall fees and costs. Kristina also participates in start-up venture capital private fund setup including structuring private equity entities to optimize client success while minimizing liabilities. 

Prior to joining the firm, Kristina arrived with extensive general litigation experience working at many mid to large-sized firms throughout California and the United States. Kristina has represented many international technology companies, including serving as outside litigation counsel for Uber and Doordash, and other business entities. She has successfully resolved many disputes prior to trial, with minimal cost and exposure.  Kristina also has experience with chapter 7 and 13 bankruptcy, as well as estate planning. She takes pride in quickly resolving client matters and providing optimal results with the client’s best interest in mind.
