International Practice Group Assists Foreign Companies Seeking to do Business in the United States

Gordon & Rees attorneys have extensive experience assisting foreign companies seeking to do business in the United States, including establishment of representative offices and determination of whether their proposed activities constitute permanent establishments under applicable tax treaties, creation of domestic subsidiaries, negotiation of joint ventures and license agreements, and preparation of distribution agreements with U.S. distributors.  

We counsel foreign companies in complying with the employment laws of the jurisdictions in which they establish their businesses and assist them with the everyday legal requirements they encounter in expanding their operations in the United States. 

Examples of recent experience are noted below:

  • Represent European, Australian and Brazilian companies with intellectual property matters and commercial transactions in the U.S., including software, manufacturing and tobacco.

  • Assisted Noritsu America Corporation, the U.S. subsidiary of Japanese
    printer company Noritsu, to acquire Virginia-based Lucidiom, Inc., a
    provider of kiosk and web-based image printing software solutions. Gordon &  Rees provided Noritsu with a range of legal services, including M&A, IP, commercial law, tax, securities, finance, labor, and employment law.

  • Established the U.S. operations of a Chinese solar company, several Danish  technology companies, a variety of Japanese companies, and a Taiwanese manufacturing company.

  • Assisted in the resolution of a proxy contest/corporate governance matter
    involving a European company.

  • Advised on mergers and acquisitions involving U.S. target companies being acquired by Indian companies.

  • Represented Brazilian cigar manufacturer in trademark dispute involving a U.S. distributor in Miami federal court.

  • Counseled Brazilian manufacturer and drafted documents for joint venture in the U.S.
